1. Acceptance of Terms
By accessing or using SimpleStock ("the Service"), you agree to be bound by these Terms of Service. SimpleStock is provided by SimpleStock LLC, a company registered in Denver, Colorado. If you do not agree to these terms, you may not use the Service.
2. Description of Service
SimpleStock is a cloud-based warehouse management system (WMS) designed for third-party logistics providers (3PLs), fulfillment centers, and warehouse operators. The Service includes inventory tracking, warehouse visualization, movement logging, multi-client management, automated billing, and reporting tools.
3. Account Registration
You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.
4. Subscription & Payment
SimpleStock offers monthly and annual subscription plans. Payments are processed through Stripe. All fees are non-refundable except as required by law. We reserve the right to change pricing with 30 days' written notice. Your subscription will automatically renew unless you cancel before the renewal date.
5. Data Ownership & Privacy
You retain full ownership of all data you input into SimpleStock. We do not sell, share, or use your data for any purpose other than providing the Service. Each client's data is fully isolated in our multi-tenant architecture. See our Privacy Policy for complete details on how we handle your information.
6. Acceptable Use
You agree to use SimpleStock only for lawful purposes related to warehouse management. You may not: attempt to reverse engineer the software, use the service to store illegal goods information, share your account credentials with unauthorized users, or attempt to access other tenants' data.
7. Service Availability
We strive to maintain 99.9% uptime for all services. Scheduled maintenance will be announced at least 24 hours in advance. We are not liable for interruptions caused by factors beyond our control, including internet service disruptions, natural disasters, or third-party service failures.
8. Limitation of Liability
SimpleStock is provided "as is" without warranties of any kind. Our total liability for any claims arising from use of the Service shall not exceed the amount you paid for the Service in the 12 months preceding the claim. We are not liable for any indirect, incidental, or consequential damages.
9. Termination
You may cancel your subscription at any time from your account settings. Upon cancellation, your data remains accessible for 30 days. After 30 days, your data will be permanently deleted. We reserve the right to suspend or terminate accounts that violate these terms.
10. Changes to Terms
We may update these Terms of Service from time to time. We will notify you of significant changes via email or through the Service. Your continued use of SimpleStock after changes are posted constitutes acceptance of the updated terms.
